Top Quality of Earnings Assessment Firms

A quality of earnings report tells a buyer, seller or lender how much of a company's reported profit is real and repeatable. Advisors rebuild EBITDA from the general ledger, strip out one-off and owner-related items, test revenue and margins by customer and product, and work out a normal level of working capital for the deal. Sellers commission one before going to market; buyers and lenders order one before signing or funding.

Compare firms on deal experience in your size range and industry, whether accountants with transaction backgrounds do the fieldwork, and how they present adjustments a buyer's own advisors will challenge.

Buyer's guide

Hiring Quality of Earnings Assessment companies

What the work covers, how to judge a partner and what drives the price.

What a quality of earnings engagement covers

The centerpiece is adjusted EBITDA: reported earnings walked line by line to a normalized figure, with each adjustment explained and supported. Typical adjustments cover owner compensation, related-party rent, one-time legal or restructuring costs, out-of-period entries and revenue recognition corrections.

A full report usually adds a proof of cash that ties revenue to bank deposits, customer and supplier concentration, gross margin trends, a net working capital analysis with a proposed peg, and a review of debt-like items such as deferred revenue, accrued bonuses or unpaid taxes.

Engagements run sell-side, where the report supports the asking price and speeds diligence, or buy-side, where it tests the seller's numbers. Lenders sometimes commission a narrower version focused on cash flow coverage.

It is a financial due diligence report that tests whether a company's reported earnings are accurate and sustainable. Advisors normalize EBITDA, analyze revenue and margins, reconcile earnings to cash and set a working capital benchmark, so buyers, sellers and lenders can price a deal on reliable numbers.

The fee depends on the company's size, the number of entities and revenue streams, and how clean the books are. Lender-focused reviews cost less than full buy-side or sell-side reports, and messy records or a short deadline add fieldwork. Most firms quote a fixed fee after a short scoping call.

An audit gives an opinion on whether financial statements follow accounting standards, while a quality of earnings report judges how much of the profit is recurring and what a buyer should pay for. A QoE adjusts EBITDA, sets a working capital peg and flags debt-like items, none of which an audit opinion covers.

A sell-side report often pays off for owners planning a sale. It surfaces accounting problems early, supports the asking price with documented adjustments and shortens the buyer's diligence. Buyers will usually still commission their own review, but a credible seller report narrows the areas they dispute.

Duration depends on how quickly management supplies data and how complex the business is. Scoping and the data request come first, then fieldwork, management interviews and a draft report. Multiple entities, inventory, cash-basis books or slow responses to follow-up questions are the usual reasons an engagement runs long.

Any company changing hands or raising debt can need one. Common cases include business services firms with concentrated customers, manufacturers with inventory and margin swings, IT and software companies with deferred revenue, and medical practices with payer-mix and owner compensation adjustments.
