**BACKGROUND** I am the CEO and founder of a Product Development Company. Our startup specializes in product development, ensuring that your concept becomes the next big success. We assist in creating outstanding SaaS products, as well as providing marketplace development, web development, mobile application development, and corporate website design services. **OPPORTUNITY / CHALLENGE** We have received a request to conduct a legal audit of our current contracts with the team. Our intention is to evaluate these contracts to ensure they comply with international laws regarding the protection of confidential information and intellectual property within the IT sector. Additionally, it is crucial for us to adhere to national labor laws, tax regulations, and financial oversight. **SOLUTION** We connected with Stalirov & Co through LinkedIn, where IT-lawyer Yulia presented their services and shared their experience working with outsourcing IT companies across Ukraine, Russia, the USA, and the EU, along with positive testimonials. As a result, we set up a conference call with CEO Valery to discuss the immediate requirements regarding our contractual structuring. During this discussion, we examined the team’s composition, roles, payment structures, project acceptance criteria, and liability of the parties involved. Valery suggested conducting an audit and creating a tailored suite of software development contracts (SDA/NDA/NCA/NSA) customized for various positions including Front-end Developers, UX Designers, QA Engineers, Business Developers, Project Management Heads, Product Managers, and DevOps Engineers. **RESULTS & FEEDBACK** The Stalirov & Co team successfully accomplished various tasks related to the contractual structuring of our company. This included establishing variations of service items to meet financial monitoring requirements for the entire team. We also developed rules for electronically managing tasks in the Jira platform to document responsibilities and track outcomes. Communication methods for transferring confidential information were defined, including email and instant messaging. We documented the sources of intellectual property in repositories, Confluence data, and technical documentation in cloud storage. A comprehensive list of confidential information was compiled in accordance with Ukrainian regulations, detailing transmission methods, protection strategies, and penalties for breaches of confidentiality. Restrictions were imposed on the public display of personal portfolios. We established procedures for transferring intellectual property rights upon the creation of IT assets and developed rules to guard against unfair competition as per the Antimonopoly Committee of Ukraine. Additionally, we set a protocol for prior notifications and the early termination of contracts, outlined the responsibilities of all parties, and created mechanisms for penalties for late deliverables, noncompliance with project specifications, breaches of confidentiality, poaching, or mishandling requirements. Lastly, we agreed to handle data processing for team profiling on platforms like LinkedIn, Clutch, and Upwork in compliance with GDPR standards.
